Marccus Partner is a leading real estate law firm in continental Europe and has advised on some of the largest transactions to have taken place during the last few years. In addition, joining forces with our associate member in China has given us substantial know-how in Asia.
Our extensive real estate know-how in many European countries enables us to provide our clients with high-quality legal and tax advice on commercial real estate transactions, including in the retail and leisure sectors. Based on sound economic judgement and longstanding experience, we handle the entire property ‘lifecycle’ from the initial acquisition through to development, leasing, joint venturing, financing and the final exit. We are also experts in dealing with residential property portfolios and are regularly instructed by international insurance companies, banks and investment funds.
Real Estate Asset Management -Top-
Depending on the respective client’s investment approach and objectives, we determine the appropriate acquisition structure and assist the client in implementing this. In addition, we structure our client’s investment in order to optimise the return during the investment and the exit phase.
Following the completion of a real estate transaction or development, we look after our clients’ interests by assisting them in managing their real estate portfolios, particularly by negotiating commercial leases and asset management contracts.
Real Estate Developments -Top-
We identify the urban planning and construction rules which are applicable in each case, help obtain the required administrative authorisations, advise on environmental law issues and prepare all necessary contracts relating to the client’s real estate development project. If the property is acquired while still under construction or refurbishment, we make sure our client’s interests are well-protected throughout the project.
Real Estate Funds -Top-
While the real estate market in Europe is converging, its legal and tax rules still lack harmonisation. Rather, each country and jurisdiction has its own specific structure for raising real estate capital. We constantly compare the various funding options and have extensive experience with closed-end and open-end funds, regulated and non-regulated funds, REITS and listed real estate companies.
Financing -Top-
We are experienced in finding appropriate financing structures. Our services include drafting and negotiating financing agreements, security, debt structuring, vanilla financing and mortgages, hybrid financing structures, co-investment agreements and convertible bond structures.
In international real estate projects, it is common to use different types of financing, such as equity, bank financing and shareholder loans. In each case, investors have to make sure they comply with the applicable thin capitalisation rules in order to secure interest deduction and optimise their investment from the tax and financial perspectives.
