Interflora v Marks & Spencer - European Court of Justice (ECJ) judgment from 22 September 2011 (C-323/09)
In Interflora, the ECJ confirmed its strict interpretation of article 5 (2) of the EU Trademark Directive, according to which the sole use of trademark in keyword advertising does not per se constitute an infringement of trademark with a reputation but rather required the trademark owner to show that the purpose of this use by the competitor is likely to be considered as free riding, dilution or tarnishement.

Merger between Humana and Nordmilch – Germany’s largest dairy company
Marccus Partners advised Nordmilch AG (Bremen) on its merger with Humana Milchindustrie GmbH (Everswinkel). The two firms were the major dairy products groups in Germany and, as a result of transaction, now constitute the largest German dairy company, trading under the name of DMK Deutsches Milchkontor GmbH.

Sharia-compliant financing : recent tax developments of Islamic finance in France
The French Ministry of Economy and Finance released on August 24th, 2010 four important guidelines dealing with the tax treatment of the following structures: Murabaha and Tawarruk (transaction in which the financing company acquires an asset and sells it later to the investor for a higher price), Sukuk (hybrid financing, whereby the remuneration and the capital depend on the return of an underlying asset owned by the issuer), Istina (financing of real estate construction) and Ijara (Lease purchase).

Hong Kong and France enter into a double taxation treaty
After nearly 10 years of lobbying and negotiations Hong Kong and France entered into a double taxation treaty (DTT) on October 21, 2010. This DTT aims at preventing double taxation as well as its repercussions, namely tax evasion on income taxes and capital. It is worth reminding that under articles 106-108 of the Basic Law, Hong Kong is granted by China the right to maintain an independent taxation system free of interference from the mainland until 2047 (As a matter of fact, Hong Kong can not take advantage of any DTT which China may enter into because only mainland taxes are mentioned in these treaties).
